Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of Richey May branded websites, microsites, applications, event registration portals, learning portals, downloadable content, webinars, and other online services operated by RM Advisory LLC (collectively, “we,” or “our”) (collectively, the “Site”). “Richey May” is the brand name under which Richey, May & Co., LLP and RM Advisory LLC provide professional services. Richey, May & Co., LLP and RM Advisory LLC practice as an alternative practice structure in accordance with the AICPA Code of Professional Conduct and applicable law, regulations and professional standards. Richey, May & Co., LLP is a licensed independent CPA firm that provides attest services to its clients, and RM Advisory LLC and its subsidiary entities provide tax and business consulting services to their clients. RM Advisory LLC is not a licensed CPA firm. 

By accessing or using any Site or by clicking “I agree,” registering for any event, webinar, or portal, or submitting information through the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Site. 

Eligibility and Age Restrictions 

The Site is intended for use by individuals who are at least eighteen (18) years of age. By accessing or using the Site, you represent that you are legally capable of entering into a binding agreement under applicable law. 

The Site is not directed to children under the age of thirteen (13). We do not knowingly collect personal information from children under 13 through the Site without appropriate parental consent as required by applicable law. 

If you are under the age of 18, you may access or use the Site only with the involvement and supervision of a parent or legal guardian. 

If we become aware that personal information has been collected from a child under 13 without appropriate consent, we reserve the right to delete such information and take appropriate corrective action. 

No Professional Relationship 

Use of the Site does not create a client relationship, attorney-client relationship, accountant-client relationship, cybersecurity consulting engagement, fiduciary relationship, or other professional relationship. No professional services are provided through the Site unless a separate written agreement has been executed between you and the applicable Richey May entity. 

Informational Purposes Only 

All content provided through the Site is intended solely for informational and educational purposes. Site content is not legal advice, tax advice, audit advice, accounting advice, cybersecurity consulting advice, or other professional advice. You are solely responsible for evaluating and validating information before acting upon it. 

Intellectual Property 

All content on the Site, including text, graphics, logos, trade names, service marks, whitepapers, reports, presentations, videos, webinars, training materials, software, source code, designs, and documentation, is owned by or licensed to us and protected by applicable intellectual property laws. 

You may view Site content, download materials specifically designated for download, and print copies for your internal business use. You may not republish, sell, resell, modify, create derivative works from, use for commercial purposes, or remove copyright notices or proprietary markings from Site content without prior written consent. All rights not expressly granted in these Terms are reserved by us and our licensors. 

Acceptable Use 

You agree not to: 

  • Violate applicable laws or regulations. 
  • Attempt unauthorized access to the Site or related systems. 
  • Circumvent, disable, or interfere with security controls. 
  • Probe, scan, or test vulnerabilities without authorization. 
  • Introduce malware, malicious code, or harmful content. 
  • Use automated scraping, harvesting, or data extraction tools without permission. 
  • Harvest email addresses or personal information. 
  • Reverse engineer Site functionality. 
  • Interfere with Site operations or availability. 
  • Impersonate another person or organization. 

We reserve the right to suspend or terminate access to any user who violates these Terms. 

User Submissions 

Any information submitted through contact forms, registration forms, surveys, event registrations, feedback mechanisms, uploads, or other Site features must be accurate, lawful, and appropriate. You represent that any information you provide is true and accurate, does not infringe third-party rights, and does not contain unlawful, malicious, or harmful content. 

Privacy 

Your use of the Site is governed by our Privacy Policy. By using the Site, you acknowledge that personal information may be collected, used, disclosed, and retained as described in the Privacy Policy and any applicable Cookie Notice or privacy preference mechanism. 

Artificial Intelligence Disclaimer 

Certain Site content may be created, analyzed, summarized, or assisted through artificial intelligence technologies. AI-assisted content may contain errors, omissions, or inaccuracies; may not reflect current legal, technical, regulatory, or business requirements; and should be independently reviewed before use. We make no warranty regarding the accuracy, completeness, or suitability of AI-assisted content. 

Events, Webinars, and Training Programs 

When registering for or participating in events, webinars, training sessions, conferences, roundtables, or other programs, you acknowledge that sessions may be recorded and that audio, video, photographs, screenshots, chat, Q&A, attendance records, and related participation information may be captured. 

Unless prohibited by law or otherwise agreed in writing, you grant us a non-exclusive, royalty-free, worldwide, perpetual right to use event recordings and participation imagery for legitimate business, educational, archival, and marketing purposes, and you waive any right of publicity or privacy claim arising from such use. If you do not wish to be recorded or photographed, do not enable your camera or microphone and notify the host; you may request removal of your image by contacting privacy@richeymay.com. 

We may modify, cancel, reschedule, or discontinue events or programs at our discretion. Any refund, substitution, or cancellation rights, if applicable, will be governed by the specific event terms presented at registration. 

Third-Party Websites and Services 

The Site may contain links to third-party websites, platforms, services, tools, or content. We do not control third-party websites, endorse third-party content, or guarantee any third-party service. Your use of third-party sites and services is subject to their applicable terms, policies, and practices. 

Website Monitoring and Security Monitoring 

We reserve the right to monitor, log, record, audit, and review activity occurring on the Site to maintain security, investigate suspected misuse, protect intellectual property, comply with legal obligations, and ensure proper operation of the Site. Users should have no expectation of privacy with respect to information transmitted through the Site. 

Users may not perform vulnerability scanning, penetration testing, denial-of-service testing, exploitation attempts, credential testing, or other security assessments against the Site without prior written authorization. 

Right to Restrict, Suspend, or Block Access 

We may suspend, block, restrict, investigate, or terminate access to the Site at any time, with or without notice, if we believe a user has violated these Terms, engaged in suspicious activity, attempted unauthorized access, interfered with Site operations, or posed a security risk. 

Availability and Changes to the Site 

We do not guarantee that the Site will be available at all times, be free from interruptions, be free from defects, operate without errors, or remain unchanged. We may modify, suspend, restrict, or discontinue any portion of the Site at any time without notice. 

Disclaimer of Warranties 

THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY, ACCURACY, COMPLETENESS, AND AVAILABILITY. WE DO NOT WARRANT THAT THE SITE OR CONTENT WILL BE ERROR-FREE, SECURE, CURRENT, OR UNINTERRUPTED. 

Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RM ADVISORY LLC, RICHEY, MAY & CO., LLP ANDAND THEIR AFFILIATES, OFFICERS, EMPLOYEES, PARTNERS, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY, OR SIMILAR DAMAGES, INCLUDING LOSS OF BUSINESS, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR RELIANCE ON SITE CONTENT. 

IF LIABILITY IS IMPOSED DESPITE THIS LIMITATION, OUR AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THE FOREGOING LIMITATIONS AND EXCLUSIONS DO NOT APPLY TO LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD, OR TO ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.  

Indemnification 

You agree to defend, indemnify, and hold harmlessus and our affiliates, officers, employees, partners, contractors, and agents from and against any claims, damages, liabilities, costs, or expenses arising from your violation of these Terms, misuse of the Site, violation of applicable law, or infringement of third-party rights.

Copyright Complaints 

We respect the intellectual property rights of others and expect users of the Site to do the same. 

If you believe that content available through the Site infringes your copyright, you may submit a written notification containing the following information: 

  • Identification of the copyrighted work claimed to have been infringed; 
  • Identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate the material; 
  • Your name, mailing address, telephone number, and email address; 
  • A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; 
  • A statement made under penalty of perjury that the information contained in the notice is accurate and that you are authorized to act on behalf of the copyright owner; and 
  • Your physical or electronic signature.

Upon receipt of valid notice, we may remove or disable access to the allegedly infringing material and take such other actions as we deem appropriate. 

Governing Law and Venue 

These Terms shall be governed by and construed under the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Colorado, unless otherwise required by applicable law or agreed in writing. 

General 

 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, severed, and the remaining provisions will remain in full force and effect. 

Entire Agreement. These Terms, together with the Privacy Policy and any terms presented at registration, constitute the entire agreement between you and us regarding the Site and supersede any prior understandings. 

No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later. 

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to any affiliate or successor. 

Survival. The Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law sections survive termination of your access. 

Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, outages, network failures, labor disputes, or governmental action. 

Changes to Terms 

We may update these Terms at any time. Material changes will be reflected by updating the Effective Date shown above or otherwise providing notice where required. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. 

California Consumer Notice 

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: Richey May, 9780 S. Meridian Blvd., Suite 500, Englewood, CO 80112, telephone (303) 721-6131, provides the Site. There is no charge to use the general informational portions of the Site. Any charges for events, webinars, training programs, products, or other services offered through the Site will be disclosed during the applicable registration or purchase process. If you have a question or complaint regarding the Site or wish to receive further information about its use, please contact us at privacy@richeymay.com or by mail at the address above. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210. This notice should be reviewed and updated annually on or before June 30, as applicable.
